Team Excel - Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Team Excel Program and associated services (the “Program”) provided by DataDrivesInsight.com Pty Ltd (ABN 62 632 506 364) (“the Company”, “we”, “us”, or “our”).

By accessing or using the Program in any capacity — as an Authorised User, a Participating Company, or a Participant — you agree to be bound by these Terms.
If you do not agree, you must not use the Program.


Important Notice

Only Authorised Users may conduct the Team Excel Program. Members of subscribing or participating companies (“Participating Companies”) may take part in the Program as Participants.

These Terms apply to all parties involved in the Team Excel Program, including:

  • The Company (DataDrivesInsight.com Pty Ltd)
  • Participating Companies that subscribe to or access the Program
  • Authorised Users who facilitate, coach, or manage the Program on behalf of a Participating Company or the Company
  • Participants who take part in surveys, Pulse Checks, or other Program activities

These Terms do not govern or apply to any separate or private agreements, scopes of work, or commercial arrangements between an Authorised User and a Participating Company.
The Company accepts no responsibility or liability for the conduct, representations, or performance of any Authorised User in their dealings with a Participating Company or its employees, beyond their authorised role within the Team Excel Program.

Your organisation may have initiated this activity and is using services provided either directly or indirectly from the Company via a registered partner.
All information provided through the Team Excel Program will be treated with the strictest confidentiality and will only be accessed and processed by the Company, your organisation, and any registered partner of the Company who is working with your organisation to conduct this activity.


1. Overview of the Program

Team Excel, developed by DataDrivesInsight.com Pty Ltd, is a workplace-culture and performance program designed to help organisations measure and improve team health, engagement, and psychological safety.

The Program operates through short, regular Pulse Checks, measuring outcomes based on participant responses, the ability of teams to commit to and follow through on improvement actions, and the completion of tailored learning modules designed to build capability and sustain positive change.
Comprehensive analytics and reporting provide insights into trends, strengths, and opportunities for development across teams and organisations.


2. Definitions and Interpretation

  • Agreement means the scope of services or contract between the Company and either (a) a Participating Company, or (b) an Authorised User, incorporating these Terms.
  • Participating Company means a company, business, or entity that holds an active subscription to the Team Excel Program.
  • Authorised User means a person or entity (such as an external coach, consultant, or company representative) who has completed the Team Excel Authorised Practitioner Training and has been approved by the Company or by a Participating Company to administer, facilitate, or support the Program.
  • Participant means an individual who takes part in Team Excel activities, such as surveys, Pulse Checks, or workshops, as part of a subscribing organisation’s use of the Program.
  • Deliverables means reports, analytics, Pulse Check results, or other outputs generated through the Program.
  • Fees means the amounts payable under an Agreement for access to and use of the Program.

If there is any inconsistency between these Terms and an Agreement, the Agreement will prevail.


3. Scope of Coverage

These Terms apply to all parties involved in the Team Excel Program, including:

  • The Company (DataDrivesInsight.com Pty Ltd)
  • Participating Companies that subscribe to or access the Program
  • Authorised Users who facilitate, coach, or manage the Program on behalf of a Participating Company or the Company
  • Participants who take part in surveys, Pulse Checks, or other Program activities

These Terms do not govern or apply to any separate or private agreements, scopes of work, or commercial arrangements between an Authorised User and a Participating Company.
The Company accepts no responsibility or liability for the conduct, representations, or performance of any Authorised User in their dealings with a Participating Company or its employees, beyond their authorised role within the Team Excel Program.


4. Eligibility

Use of the Team Excel Program is available to:

  • Participants, who are employees, contractors, or affiliates of a Participating Company with an active Team Excel subscription; and
  • Authorised Users, including external coaches, consultants, or company representatives who have completed the Team Excel Authorised Practitioner Training and have been engaged by that organisation or by the Company to administer, facilitate, or support the Program.

Participants are not required to hold an account or licence to take part in Team Excel activities, but Authorised Users must hold an active login or account.
All users must use the Program in accordance with these Terms, their organisation’s policies, and any applicable Agreements with the Company.


5. Accounts and Access

  • Authorised Users are responsible for maintaining the confidentiality of their login credentials and for all activity under their account.
  • Participants may be invited to complete surveys or other Program activities via a secure email, which includes links to both the Team Excel Program Portal or directly to a specific Pulse activity.
  • Participants are encouraged to update their password upon first access via the Account page. Passwords should be strong and include a combination of letters, numbers, and symbols to protect account security.
  • You must notify the Company immediately of any unauthorised access, password compromise, or security breach.
  • The Company may suspend or terminate access for misuse, non-compliance, or security concerns.
  • The Company accepts no responsibility or liability for any unauthorised access, hacking, password compromise, data loss, or other security breach arising from a user’s failure to maintain appropriate account security.

6. Acceptable Use

You must not:

  • Use the Program for unlawful, defamatory, or discriminatory purposes
  • Attempt to gain unauthorised access to systems or data
  • Upload harmful code or interfere with service operation
  • Copy, resell, sublicense, or exploit any component of the Program, including but not limited to the questions in the Pulse Checks, benchmarking data, coaching modules, learning materials, analytics, or any other related content available through the Team Excel Program Platform

7. Data Privacy and Confidentiality

  • Participant responses, organisational data, and derivative analytics are treated as confidential.
  • Individual responses are anonymised and aggregated before being shared with leaders, coaches, or Authorised Users.
  • The information you provide will be managed and processed by DataDrivesInsight.com Pty Ltd and may be used for ongoing research purposes to improve the Program and its outcomes.
  • All information will be treated with the strictest confidentiality and will only be accessed and processed by DataDrivesInsight.com, your organisation, and the registered partner of DataDrivesInsight.com who is working with your organisation to conduct this activity.
  • The Company complies with the Privacy Act 1988 (Cth) and maintains secure data storage and processing practices.
  • Each party must maintain the confidentiality of the other’s information and use it only as necessary to fulfil the Agreement.
  • On request, either party must return or securely dispose of the other’s confidential materials.
  • The Company takes no responsibility or liability for any unauthorised access, technical failure, or data errors that occur within or outside the systems of the Program.
  • The Company’s handling of all personal and organisational data is governed by its Privacy Policy, which forms part of these Terms. By using the Program, you agree to the collection, processing, research use, and disclosure of information in accordance with that policy.

8. Intellectual Property

All intellectual-property rights in the Program (including software, methods, analytics, platform, designs, surveys, Pulse Check questions, and scoring methodology) remain the exclusive property of the Company or its licensors.
You are granted a limited, non-exclusive, non-transferable licence to use the Program for authorised purposes.
Deliverables (such as reports or analytics derived from your organisation’s data) belong to your organisation, but the Company retains ownership of its pre-existing materials, know-how, and methodologies.


9. Feedback

Any feedback, ideas, or suggestions you provide may be used by the Company without restriction or obligation, unless otherwise agreed in writing.


10. Complaints and Dispute Resolution

  • Participants, Authorised Users, or Participating Companies may raise concerns or complaints regarding the Program by contacting the Company at info@datadrivesinsight.com or via the Contact Us page.
  • The Company will acknowledge receipt of the complaint within five business days and aim to resolve the matter within twenty business days.
  • If the matter cannot be resolved promptly, the Company may propose a meeting or written exchange to facilitate resolution.
  • Where a dispute remains unresolved after reasonable efforts, the parties agree to attempt mediation in Perth, Western Australia before initiating any formal legal proceedings.

11. Service Availability and Support

The Company aims to provide reliable access but cannot guarantee uninterrupted or error-free operation.
Planned maintenance or updates may temporarily affect availability.
The Company takes no responsibility for any server, internet, or technology issues that may affect access, performance, or delivery of the Program.
Basic technical support is available during standard business hours (AWST).


12. Fees and Billing

  • Fees and billing arrangements are as set out in the relevant Agreement between the Company and the Participating Company or Authorised User.
  • Any changes to the organisation settings within the Team Excel Program —including adjustments to teams, members, and/or Pulse frequency—may impact future billing in accordance with the relevant Agreement.
  • All prices are quoted in AUD and are subject to applicable Goods and Services Tax (GST) unless otherwise stated.

13. Termination

The Company may suspend or terminate access or the Agreement if:

  • You breach these Terms and fail to remedy within seven days of notice
  • You become insolvent or enter administration
  • The Agreement term expires or is terminated by the Participating Company

Participants may cease participation at any time by not completing further Pulse Checks or surveys.
Authorised Users and Participating Companies may terminate their involvement as per the relevant Agreement.
Provisions relating to confidentiality, intellectual property, and liability survive termination.


14. Disclaimer of Warranties

The Program is provided “as is” and “as available”.
The Company makes no warranties of accuracy, completeness, or fitness for a particular purpose.
Use of the Program is at your own risk.


15. Limitation of Liability

To the maximum extent permitted by law:

  • The Company is not liable for indirect, special, or consequential loss arising from use of the Program.
  • Total liability for all claims shall not exceed the total fees paid by the organisation or Authorised User in the 12 months preceding the claim.
  • The Company is not liable for any act, omission, or

misrepresentation by an Authorised User or Participating Company in their dealings with each other.

  • Nothing in these Terms limits liability for fraud, personal injury, or matters that cannot be excluded by law.

16. Insurance and Indemnity

You agree to indemnify the Company against claims, losses, or costs arising from misuse of the Program or breach of these Terms.
Participating Companies and Authorised Users must maintain appropriate insurance (such as professional indemnity or public liability) during and for at least six years after the term, and provide proof on request.


17. Delegation

The Company may delegate or subcontract any obligations but remains responsible for acts or omissions of its delegates.


18. Third-Party Integrations

Team Excel may integrate with third-party services such as SurveyMonkey, Reach 360, and Azure SSO.
Your use of those services is subject to their own terms and privacy policies.
The Company is not responsible for third-party content or functionality.


19. Amendments

The Company may update these Terms from time to time. Material changes will be communicated to registered organisations or users.
Continued use after updates constitutes acceptance of the revised Terms.


20. Governing Law and Jurisdiction

These Terms are governed by the laws of Western Australia.
Any disputes are subject to the exclusive jurisdiction of the courts of Western Australia.


21. Entire Agreement, Variation and Severance

These Terms, together with any applicable Agreement, constitute the entire agreement between the parties.
Any variation must be in writing and agreed by both parties.
If any part of these Terms is found invalid or unenforceable, the remaining provisions continue in full effect.
